I. GPT Site Terms and Conditions<\/strong><\/p>\n\n\n\n

Please read the following carefully before agreeing to participate in the GPT Site Service and Website. Your participation is conditional upon your acceptance of all terms and conditions in this agreement and any incorporated documents, including, but not limited to, the privacy policy. By submitting the online registration form, you are entering into a legal agreement with GPT Site, formally indicating your acceptance of the terms and conditions of this agreement, and agreeing to be bound by such terms and conditions, as well as any future versions of the agreement.<\/p>\n\n\n\n

II. Defined Terms<\/strong>

In this Terms and Conditions agreement document:

<\/p>\n\n\n\n

  1. “You” or “Yourself” or “Your” or “Member(s)” or “User(s)” or “Individual(s)” means you, the current or prospective member of GPT Site;

    <\/li>
  2. “GPT Site” or “We” or “Our” means GPT Site;

    <\/li>
  3. “Service” or “Website” means any service or function provided by the GPT Site website, currently located at www.gptsite.com, or any of its subdomains, subdirectories, or contained documents, pages and files;

    <\/li>
  4. “Account” or “Membership” means an account established with GPT Site in the GPT Site Service through Our Website;

    <\/li>
  5. “Agreement” or “Terms and Conditions” means this Terms and Conditions document;

    <\/li>
  6. “Cash Balance” means cash accrued by a Member;

    <\/li>
  7. “Payable Balance” means any Cash Balance which has been fully credited and has become payable to the Member. Cash Balance typically becomes Payable Balance by the 30th day of the month after the one in which it was earned, however, this may vary as further outlined in the Agreement;

    <\/li>
  8. The dollar sign (“$”) and any references to currency mean United States Dollars;

    <\/li>
  9. Additional terms may be defined throughout the remainder of this Agreement.<\/li><\/ol>\n\n\n\n

    III. Description of Service<\/strong>

    GPT Site is a free Service which allows Members to perform actions through affiliated merchants, and receive and browse content on the Website. Your use of GPT Site and its Service is at your sole risk. The Service shall be provided on an “as is” and “as available” basis. GPT Site expressly disclaims all responsibility and liability for the availability, timeliness, security and reliability of the Service, as well as warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. GPT Site reserves the right to modify, suspend or discontinue the Service with or without notice, at any time, for any reason, and without holding any liability toward You. Judgments made by GPT Site regarding the Service, Your actions, Your Account, any User or User’s Account, and any other matter related to the Service shall be final. You acknowledge that GPT Site makes no guarantee of an appeal for any decision. The Service is void where restricted, taxed, or prohibited by law.<\/p>\n\n\n\n

    IV. No Purchase Necessary<\/strong>

    No purchase is necessary to join or use the GPT Site Service. There are no gambling, betting or wagering opportunities available on GPT Site. No Membership fees, entry fees, upgrade fees, or other dues are collected by GPT Site.<\/p>\n\n\n\n

    V. Membership<\/strong>

    Membership at GPT Site is conditional upon acceptance of and compliance with all terms, conditions, notices, disclaimers, etc., contained in this Agreement. Submission of the online Membership application (registration page) constitutes the Member’s acceptance of this Agreement. Since the Agreement is binding, You should periodically return to this page and review the Agreement. Notice of Terms and Conditions changes will be placed on this document, and may additionally be emailed by GPT Site to members, although the latter shall not be required of GPT Site. GPT Site reserves the right to vary the Terms and Conditions, specifications, rates, rewards, requirements, rules, and any other elements of the Service at any time. Members must agree to all terms of this Agreement, both now and following the application of any future amendments, additions, removals, alterations or updates.<\/p>\n\n\n\n

    VI. Conditions of Membership<\/strong>

    Continued Membership at GPT Site is conditional upon the Member’s abidance with conditions set forth in this document and throughout the Website. Failure to adhere to one or more of the following conditions is grounds for loss of Account, earnings, downline, status and any and every potential and realized benefit:<\/p>\n\n\n\n

    1. An Individual may only apply for, or use, one Account. Multiple Accounts used by the same person will result in the termination of all Accounts used by the Individual.

      <\/li>
    2. A limit of one Account is established per each household, postal address, email address, computer and IP address.

      <\/li>
    3. An Individual may not join GPT Site or use the Service on behalf of, or for, another person.

      <\/li>
    4. Membership at GPT Site is open only to legal residents of the United States, which is to say, the 50 states and Washington D.C.

      <\/li>
    5. Any Individual not residing in the United States who wishes to obtain GPT Site Membership must first request and receive express written consent from GPT Site. GPT Site shall make no guarantee of such a request being honored with consent;

      <\/li>
    6. Considering sanctions imposed by the United States Department of Treasury, We do not intend the Service to be used in any manner by persons from Angola, Burma (Myanmar), Cote d’Ivoire, Cuba, Iran, Iraq, Liberia, Libya, North Korea, Sierra Leone, Sudan, Syria, Western Balkans and Zimbabwe.

      <\/li>
    7. Any Member found to be under the age of 18 will be subject to Account termination.

      <\/li>
    8. Spamming (sending spam) of any kind, on behalf of GPT Site, Yourself, or a third party, is strictly prohibited. Any Account linked to spamming is subject to termination. GPT Site may take appropriate legal action against any Individual linked to spamming.

      <\/li>
    9. All Members must be able to communicate reasonably with the English language. All Membership information must be provided clearly and accurately in the English language.

      <\/li>
    10. All personal and payment information requested by GPT Site or submitted by a Member must be true, complete and up-to-date.

      <\/li>
    11. Any Member with a change in personal or payment information must inform GPT Site immediately of any and all changes.

      <\/li>
    12. To retain Membership, an Individual must avoid inactivity, which is defined for this purpose as one or more of the following:

      1. Allowing 90 or more days to pass between successfully logging in to the Members portion of GPT Site;

        <\/li>
      2. Using an Account email address which “bounces” emails sent from GPT Site.

        <\/li>
      3. Using an Account email address which “auto-responds” to emails sent from GPT Site.

        <\/li>
      4. Using an Account email address which in any way sends a response of non-delivery or additional requirements for delivery to emails sent from GPT Site.

        <\/li><\/ol><\/li>
      5. Any Individual whose Account has been terminated may not create a new Account.

        <\/li>
      6. Any Individual who has willfully cancelled an Account may not create a new Account over a minimum of 90 days following that Individual’s most recent Account cancellation.

        <\/li>
      7. The use of an “anonymous” proxy to access a Member’s Account will result in Account termination. ISP proxies, such as AOL, are not prohibited.

        <\/li>
      8. Use of a gift card, prepaid credit card, or prepaid debit card to pay a merchant is prohibited.

        <\/li>
      9. Any Individual using, requesting or promoting methods to circumvent the system, abuse the Website or Service, violate the Agreement, or break the Service’s regulations and commonly-understood means of use is subject to Account termination.

        <\/li>
      10. Any Individual using, requesting or promoting software, scripts or “bots” to perform actions on GPT Site is subject to Account termination.

        <\/li>
      11. Individuals may not use the Service to participate in, promote or encourage any activity deemed illegal by any prevailing federal, state or municipal government.

        <\/li>
      12. GPT Site may not be promoted or referenced to on any websites, online services, or under any other circumstances which are deemed by GPT Site to be unethical or are in violation of United States federal, state or municipal law, prevailing law in the location of GPT Site, prevailing law in the location of the person(s) involved or prevailing law in the location of the promotion or reference.

        <\/li>
      13. Individuals may not participate in any action deemed inappropriate in the sound discretion of GPT Site.

        <\/li>
      14. All other terms within this Agreement must be met with compliance.<\/li><\/ol>\n\n\n\n

        GPT Site reserves the right to terminate any Account at any time, with just cause by reason of this Agreement.<\/p>\n\n\n\n

        VII. Your Relationship With GPT Site<\/strong>

        As a Member You are an independent contractor to GPT Site. You are in no way an employee, agent, affiliate, representative, or any other relation to GPT Site, and you shall not present yourself as such. As an independent contractor, you are solely responsible for reporting your taxable income, and paying taxes on said income, in any and all ways applicable to You.<\/p>\n\n\n\n

        VIII. Promotion Restrictions<\/strong>

        You may not engage in making untrue or exaggerated statements regarding GPT Site, nor in any unfair or deceptive trade practice as defined by U.S. law. You may not make any promises, guarantees, or implications beyond those which are established in this Agreement. If promoting GPT Site, You must ensure that any and all information You use is accurate and up-to-date, and that You are able to and shall keep it accurate and up-to-date so long as it remains accessible. You may not send electronic communications regarding GPT Site to those who You do not know or who do not desire to receive such communications from You. You may not promote GPT Site in any way whatsoever which violates United States federal, state or local law. Any Individual found promoting GPT Site in a prohibited manner will be subject to Account termination, and may be subject to appropriate legal action as a response to the activities.<\/p>\n\n\n\n

        IX. Application of Service<\/strong>

        GPT Site shall, at no time, make any promise of service, earnings, benefits or rewards to any person. GPT Site may, of its own will, offer any benefit it deems right to any Member, at any time, for any reason. GPT Site may, of its own will, choose to revoke any benefits, including, but not limited to, Membership and future rewards, at any time, to any Member, for any violation of the Agreement. GPT Site offers no guarantees other than those outlined in the Agreement.<\/p>\n\n\n\n

        X. Non-Liability<\/strong>

        GPT Site shall, at no time, be held liable for any result of Your use of or inability to use the Service or any content provided on the Website, the results including, but not limited to, termination, suspension, cancellation, loss of earning, prizes, status or benefits, information dissemination, legal proceedings against You, damages (actual or consequential), suits, losses, judgments, litigation costs, attorneys’ fees, and any other consequences, of every kind and nature. GPT Site shall at no time be held liable for Your use of third-party websites displayed via hyperlinks on the Website. GPT Site makes no guarantees regarding third-party websites, their services and\/or products, their claims or the veracity thereof, or any other matter regarding those third parties. These third-party websites are neither endorsed nor verified by GPT Site. GPT Site disclaims all responsibility for Your use of these sites, actions done therein, and any and every consequence thereof.<\/p>\n\n\n\n

        XI. Non-Commitment<\/strong>

        GPT Site shall, at no time, have any commitment toward any User, beyond those detailed within this Agreement. GPT Site may, at its sole discretion, terminate and\/or discontinue the Service, for one, any or all Users, at any time, with or without notice. Upon discontinuation of the Service, GPT Site shall remain without commitment toward any User, past or present, terminated, cancelled, suspended, resigned, active, or in any state.<\/p>\n\n\n\n

        XII. Non-Transferability<\/strong>

        <\/p>\n\n\n\n

        1. A Member’s right to use the Service is non-transferable;

          <\/li>
        2. A Member’s benefits and obligations as a Member of the service are non-transferable;

          <\/li>
        3. Accounts are non-transferable, and are void if transferred;

          <\/li>
        4. Any and all forms of cash balance are non-transferable, and are void if transferred;

          <\/li>
        5. Any and all non-cash prizes, rewards and other items are non-transferable, and are void if transferred;

          <\/li>
        6. A Member’s Account and all it entails are not transferable due to death of the Member, as part of a domestic relations matter, or in any manner by operation of law;

          <\/li><\/ol>\n\n\n\n

          XIII. Credit of Start Page Earnings<\/strong><\/p>\n\n\n\n

          Each member will be allotted one opportunity for to receive earnings at the Start Page per two hours. An opportunity is accepted by performing the action requested to receive the earnings, which is currently to open the Start Page while logged in to the Member’s Account. The current value of this action is 1 Star Point.<\/p>\n\n\n\n

          XIV. Credit of Trivia Game Winnings<\/strong>

          Each member will be allotted ten opportunities to win a prize in the Trivia Game per day, defined as 12:00am through 11:59pm in the current time of the GPT Site Service. An opportunity is accepted by endeavoring to answer a trivia question in the Cash Trivia game. Once the Member has submitted an answer to a question, it will be automatically verified by the Service for accuracy. Should the answer be correct, and the Member not have previously submitted 10 or more answers during the day, the Member shall win the prize. The current value of the prize is 1 Star Point.<\/p>\n\n\n\n

          XV. Credit of Cash Offer, Paid Survey and Cash Back Earnings<\/strong>

          Cash Balance will not be provided to Members of the Service for completed actions within Cash Offers, Paid Surveys or Cash Back until GPT Site has received verification from the involved business(es) that the Member has in fact completed the action. Upon GPT Site’s receiving notice from a business of a completed action by a Member, the Member’s Account will be updated to name the completed action and display Cash Balance for that action. Cash Balance is shown for informational purposes only, and is not immediately payable.<\/p>\n\n\n\n

          XVI. Payable Balance<\/strong>

          Cash Balance earned by the Member is not considered to be Payable Balance until GPT Site has received the full payment due from the business whose actions were completed. Cash Balance is generally considered to be Payable Balance by the 30th day of the month after the one in which the Cash Balance was earned. Delays in payment to GPT Site by a business or the provider of its offer (“Provider”) shall delay the credit of Payable Balance to any Member completing a Cash Offer submission or Cash Back purchase through that Provider. Non-payment by a business or the Provider shall require that a Member completing an action through that business or Provider not receive Payable Balance for that action. GPT Site shall at no time guarantee that Cash Balance will become Payable Balance prior to receiving full payment from the business or Provider.<\/p>\n\n\n\n

          XVII. Reversal of Cash Balance<\/strong>

          Prior to establishment as Payable Balance, Cash Balance may be removed from the Member’s Account for one or more reasons, including, but not limited to:

          <\/p>\n\n\n\n

          1. Fraud committed by the Member;

            <\/li>
          2. Failure by the Member to perform the action in good faith or with genuine interest;

            <\/li>
          3. An existing or previous relationship between the Member and business prior to the initiation of their relationship through GPT Site;

            <\/li>
          4. Incorrect information provided by the Member in the action;

            <\/li>
          5. Ineligibility of the Member for the action;

            <\/li>
          6. Failure by the Member to follow one or more of the requirements set by either GPT Site or the business;

            <\/li>
          7. Chargeback, reversal or cancellation of any kind by the Member;

            <\/li>
          8. Refund by the business, to the Member, of purchase cost or fees paid;

            <\/li>
          9. Use of a gift card, prepaid debit card, or prepaid credit card by the Member to pay the business;

            <\/li>
          10. Violation(s) of the Agreement by the Member;

            <\/li>
          11. Violation(s) of any of the business’s policies by the Member;

            <\/li>
          12. Denial or reversal of the Member’s action by the business or Provider;

            <\/li>
          13. Delay or failure in payment by the business or Provider.<\/li><\/ol>\n\n\n\n

            XVIII. Referred Members<\/strong>

            Referred Members are known in the Service as Referred Friends. Members may earn commission through referring new Members to the Service based upon earnings and prizes received by those Referred Friends. The rate of earning shall be 10% commission per each cash earnings through Cash Offers, Paid Surveys, or Cash Back by a Referred Friend, 1 Coin commission per each Coin redemption by a Referred Friend, and 20 Star Points commission per first-time login by a Referred Friend. In the case that 10% commission for a particular action includes a partial cent, the Service may automatically round down or up to the nearest cent. Members may participate in the Refer a Friend Program by referring new Members to the Service through the Referrer’s unique Refer a Friend link. Visitors who click through this link will be recorded as referred by the Member whose link was used, and should a visitor register with the Service, that new Member will become a Referred Friend of the Referrer. Should a visitor visit through several Refer a Friend links and\/or Affiliate links (which are those used by Affiliates in the GPT Site Affiliate Program Service), the most recent link used will be the one recorded. Should a visitor’s Internet Protocol (IP) Address change after the record was made, that visitor will not be credited as a Referred Friend if he signs up, unless he clicks through a Refer-a-Friend link again after the IP Address change. Records are retained for a minimum of 30 days, so visitors who visit through a Refer-a-Friend link and sign up more than 30 days after the most recent click through a Refer-a-Friend link potentially may not be credited as a Referred Friend. The Referrer may lose any commissions earned should the Referred Friend be terminated from the Service for fraud or any other violation of the Terms and Conditions, and the Referred Friend will no longer be considered as linked to the Referrer, as the Referred Friend’s Account is terminated. The Referrer will not lose any commissions earned should the Referred Friend willfully cancel himself from the Service, however the Referred Friend will no longer be considered as linked to the Referrer, as the Referred Friend’s Account is cancelled. Payment of commissions earned by Referrers will be made under the normal pay schedule, which is by the 30th day of the month following the month in which the commissions were earned. Payment of commissions requires that the Referrer is eligible for payment of earnings. GPT Site reserves the right to disallow individual Members from participation in the Refer-a-Friend Program should they abuse it or abuse any of the Terms and Conditions in an attempt to gain through it. GPT Site reserves the right to modify or discontinue the Refer-a-Friend program for any or all Members at any time.<\/p>\n\n\n\n

            XIX. Sign Up Bonus<\/strong>

            To receive a Sign Up Bonus, a Member must be a bona fide new registrant to the Service, not have another Account, nor have had in any time past another Account. The Member must not have previously received a Sign Up Bonus from GPT Site. A maximum of one Sign Up Bonus per household is permitted. The Sign Up Bonus shall not be paid unless and until the Member’s Payable Balance, including the Sign Up Bonus, reaches the current minimum payment level. The Sign Up Bonus is currently worth $1.00, and its value and availability are subject to change at any time, for any or no reason, and with or without prior notice. The Sign Up Bonus program may be altered, suspended, cancelled, terminated or made unavailable for any or all Members at any time, for any or no reason, and with or without notice.<\/p>\n\n\n\n

            XX. Payment of Cash<\/strong>

            GPT Site sends payments to members based upon their Payable Balance (as defined throughout this agreement), on or around the 30th day of each month, with considerations for weekends, holidays, business or Provider delays, and other unforeseen events. GPT Site rewards Members in good standing with payments once they reach specific balance levels in their Account. In order to receive a payment, the Member must have submitted complete and proper payment information, selected a payment method and reached the minimum payment amount in Payable Balance earned through the previous month. Until these requirements are met, the Affiliate is not eligible to receive payment for any earnings, including any Payable Balance he has accrued. Payable Balance requirements for payments may vary with each option, and are subject to change at any time.

            Current requirements are as follows:

            <\/p>\n\n\n\n

            1. $10.00 or above for a PayPal payment;

              <\/li>
            2. $10.00 or above for a check payment;

              <\/li><\/ol>\n\n\n\n

              PayPal payments will be sent via the mass pay service to the Member’s payment email address on file. Check payments will be sent via USPS or UPS to the Member’s postal address on file, and upon being sent may take up to 2 weeks, or more, to arrive at some locations, due to postal delays.<\/p>\n\n\n\n

              Members may choose to:<\/p>\n\n\n\n

              1. Receive an automatic payment via a specific method upon reaching the minimum requirement;

                <\/li>
              2. Retain their balance within their Accounts, by not completing personal details and a payment method selection, until a later time.

                <\/li><\/ol>\n\n\n\n

                GPT Site will not be held liable for lost or missing payments due to incorrect information provided by a Member. GPT Site will not be held liable for delayed, mishandled, misplaced, confiscated, destroyed or lost payments as a result of action(s) by any Member or third party. Once a payment process has been initiated it cannot be reversed, and the balance cannot be returned to the Member’s Account. Payments are generally processed by the 30th day of each month, however, it is possible that they may be processed or sent at any given day.<\/p>\n\n\n\n

                XXI. Redemptions<\/strong>

                Some items received on the Service are non-payable, including, but not limited to: “Coins” and “Star Points.” These items have no inherent cash value and are non-redeemable other than for the following exceptions:<\/p>\n\n\n\n

                1. Coins

                    1. 10 coins for a $10.00 gift certificate

                      <\/li>
                    2. 25 coins for a $25.00 gift certificate

                      <\/li>
                    3. 50 coins for a $50.00 gift certificate

                      <\/li><\/ol><\/li>
                    4. Wal-Mart gift cards

                      1. 10 coins for a $10.00 gift card

                        <\/li>
                      2. 25 coins for a $25.00 gift card

                        <\/li>
                      3. 50 coins for a $50.00 gift card

                        <\/li><\/ol><\/li>
                      4. Wal-Mart Online gift cards

                        1. 10 coins for a $10.00 gift card

                          <\/li>
                        2. 25 coins for a $25.00 gift card

                          <\/li>

                                      1. Star Points are be redeemable for Cash Balance at the current rate of $0.10 per 100 Star Points. The rate is subject to change at any time. Star Points may be redeemed in increments of 100 only.

                                        <\/li><\/ol><\/li><\/ol><\/li><\/ol>\n\n\n\n

                                        Amazon.com gift certificates, Wal-Mart Online gift cards and Target Online gift cards are sent through the company’s online service to the Member’s email address on file. Wal-Mart gift cards, Target gift cards, VISA gift cards, MasterCard gift cards and Discover gift cards are ordered through either the company or a third-party merchant, which will send the gift card to the Member.<\/p>\n\n\n\n

                                        Redemptions may only be made by Members logged into their GPT Site Account, and will be processed according to the following schedule:<\/p>\n\n\n\n

                                        1. Coins

                                          1. Coin redemptions will be sent by the 30th day of the month following the one in which the redemption took place.

                                            <\/li><\/ol><\/li>
                                          2. Star Points

                                            1. Star Points redemptions will be processed automatically upon taking place.

                                              <\/li><\/ol><\/li><\/ol>\n\n\n\n

                                              Redemptions may not be selected until a Member has completed the personal details fully.<\/p>\n\n\n\n

                                              Coins, Star Points, and redemptions selected by the Member may be removed or reversed by GPT Site due to violations of the Agreement by the Member or other particular events as outlined throughout the Agreement.<\/p>\n\n\n\n

                                              Redemption possibilities, processing schedule, and any and all other matters relating to redemptions may vary and are subject to change at any time.<\/p>\n\n\n\n

                                              XXII. Personal Use<\/strong>

                                              GPT Site is made available for personal use only. One User may have a maximum of one Account. A limit of one Account per household also exists. Termination or suspension of an Account is not grounds for creation of a new Account. Creation of more than one Account by, for or intended for one person constitutes fraud. Membership at GPT Site requires that You be a minimum of 18 years of age. You must always provide current and accurate information as required by being a Member of this Website. False, incomplete or out-of-date personal information is grounds for Account termination. You must always provide future information deemed necessary by GPT Site. You are strictly responsible for maintaining the confidentiality of Your GPT Site Account and password. GPT Site reserves the right to refuse service to any person at any time, with or without notice, and for any reason prescribed within the Terms and Conditions. Accounts may not be sold, given or transferred to any other person. Your Account at GPT Site shall not serve as a bank account, and as such is not insured by FDIC, NCUA, or any other governmental or private insurance agency.<\/p>\n\n\n\n

                                              XXIII. Proper Use<\/strong>

                                              You are responsible for every consequence of Your Account’s use, as well as Your use of the GPT Site Service. Your use of GPT Site constitutes your acceptance of the Agreement, and is subject to said acceptance. You agree that You will use the Service in compliance with all laws, rules and regulations, whether local, state, national or international. You shall never use the Service in any manner which might damage, impair, subvert, overburden, suspend, disable or destroy the Service, or interfere with any third party’s use of the Service. GPT Site reserves the right to investigate Your use of the Service, in order to determine whether a violation of the Agreement has taken place, as well as to comply with any applicable law, regulation or legal process, or per government request.<\/p>\n\n\n\n

                                              XXIV. Content of Service<\/strong>

                                              GPT Site takes no responsibility for third party content. GPT Site has no obligation to monitor such third party content. GPT Site reserves the right to remove or refuse to distribute any content, at any time, including, but not limited to, third party content. Removal or refusal to distribute information will be decided solely at GPT Site’s discretion, and may also be done in conjunction with any applicable law, regulation or legal process, or per government request. GPT Site reserves the right to reject or remove any content, including, but not limited to, advertisements deemed by GPT Site to be illegal, pornographic, hateful, fraudulent, immoral or unethical.<\/p>\n\n\n\n

                                              XXV. Intellectual Property Rights<\/strong>

                                              You acknowledge that GPT Site owns all right, title and interest in and to the service, without limitation. You agree not to copy, reproduce, alter, modify or create derivative works from the Service. You agree not to, by any means, copy content or information from the Service, nor to reproduce the Service, fully or partially, in any way.<\/p>\n\n\n\n

                                              XXVI. Representations and Warranties<\/strong>

                                              You represent and warrant that all of the information provided by You to GPT Site to participate in the Service and Website is correct and current. You represent and warrant You have all the necessary right, power and authority to enter into this agreement and to perform and\/or refrain from the acts required of You within the Agreement.<\/p>\n\n\n\n

                                              As a condition to using GPT Site, You agree to the full terms and conditions of the Privacy Policy, including updates which may occur from time-to-time.                                               XXIII. Spam<\/strong>

                                              You agree that any form of spam linked to You is reason enough for the termination of Your Account. You agree that GPT Site may investigate any claims made against You regarding spam, including those made by GPT Site, Yourself, or any third party. GPT Site shall not tolerate spam, no matter what method. You agree that should GPT Site have sound reason to believe you have engaged in spamming one or more times, Your Account may be terminated without recourse, and legal action may be taken against You in response to Your activities.<\/p>\n\n\n\n

                                              XXIX. Cancellation and Termination<\/strong>

                                              You may cancel Your use of the GPT Site Service at any time, with or without reason, by logging in to Your Account, clicking the “My Account” link, then the “Cancel My Account” link, and following the instructions given. You may also cancel Your use of the GPT Site Service by emailing unsubscribe@gptsite.com with the subject line: unsubscribe; or by sending notice to:

                                              Should You cancel Your Account for any reason, shall lose any and all potential benefits and earnings made available through the Service. GPT Site shall offer and owe nothing to Users whose Accounts have been terminated. GPT Site may, at its discretion, terminate or suspend any Account, for any reason detailed within the Terms and Conditions, at any time, with or without any prior notice or warning. Users whose Accounts have been terminated by GPT Site, for any reason, shall lose any and all potential benefits and earnings made available through the Service. GPT Site shall offer and owe nothing to Users whose Accounts have been terminated. Users whose Accounts have been terminated or cancelled remain subject to any and every portion of the Agreement enforceable toward terminated or cancelled members. All parts of the Terms and Conditions and\/or Privacy Policy directed solely toward active Members shall not apply to terminated or cancelled Users. All parts of the Terms and Conditions and\/or Privacy Policy not explicitly directed toward active Members alone, while not explicitly made inapplicable toward terminated or cancelled Members, shall apply to all Users; active, terminated and cancelled. Termination or cancellation, for any reason, disallows the terminated or cancelled User from access to or use of the GPT Site Service, without exception, unless the User has been given express written permission by the Administrator to use the Service, or in the case of cancellation, the User has waited a minimum of 90 days since the User’s most recent Account cancellation.<\/p>\n\n\n\n

                                              XXX. Taxes<\/strong>

                                              United States residents may be required by law to report their income. Additionally, Members receiving in excess of or precisely $600.00 during any fiscal year will be required to fill and submit W-9 forms to GPT Site. A fiscal year as used in this term is defined as January 1 through December 31 of the same year. Payments reaching or exceeding the $600.00 threshold during a fiscal year will not be sent until after the W-9 form has been received. Partial balance payments intended to allow the Member to remain below the $600.00 threshold will not be sent. W-9 forms submitted must be complete and accurate. Falsifying information on these forms is not only against Our Terms and Conditions, but moreover punishable under U.S. law. Members requiring W-9 forms must also annually submit a 1099 form as required by the IRS. Failure to submit the 1099 form to the IRS and\/or to do so accurately, completely and in a timely manner may result in the loss of the Member’s account, forfeiture of earnings, and\/or legal action against the Member. In the case of a Member outside of the United States participating in the Service, the aforementioned W-9 form shall be replaced by a W-8 form. The W-9 or W-8 form must be sent to GPT Site by mail to the U.S. mail postal address as found at the time on the                                               Contact<\/a> page. GPT Site does report earnings paid to Members, including, but not limited to, those specifically requiring tax forms. In the event of a tax audit, full records of all payments shall be disclosed to the IRS and\/or Washington State Department of Revenue. Members are responsible for reporting their own income, and GPT Site will not provide tax-related support.<\/p>\n\n\n\n

                                              XXXI. Indemnification<\/strong>

                                              You agree to hold harmless and indemnify GPT Site, its affiliates, officers, directors, employees, agents and all Members from and against any and all liability, losses, claims, demands, disputes, damages or costs of any kind, including, but not limited to, reasonable attorneys’ fees and costs of litigation, resulting from or in any way connected with:

                                              1. Information or other content You submit or that is submitted from, through, by, or in conjunction with Your Account;

                                                <\/li>
                                              2. Your use of or reliance on the Service;

                                                <\/li>
                                              3. Your connection to the Website or Service;

                                              4. Your violation of this Agreement;

                                                <\/li>
                                              5. Your violation of any rights of another party;

                                                <\/li>
                                              6. Your violation of United States law;

                                                <\/li>
                                              7. Your violation of prevailing law in Your location.<\/li><\/ol>\n\n\n\n

                                                XXXII. No Other Agreements<\/strong>

                                                With the lone exception of our Privacy Policy, this Agreement constitutes the entire Agreement between You and GPT Site toward governing Your use of our Website and Service, and supersedes any prior Agreements or prior versions of Agreements between You and GPT Site for that purpose. No advice or information, whether oral or written, obtained by You from our Website or Service or through any Individual shall create any warranty not expressly stated within this Agreement.<\/p>\n\n\n\n

                                                XXXIII. Force Majeure<\/strong>

                                                Any delay in or failure of performance by either party under this Agreement will be excused to the extent caused by any cause beyond the reasonable control of such party, including, but not limited to: power outages, computer or data processing failures, programming errors, failures of third party vendors, failures of communications systems, fires, earthquakes, storms, public emergency, and governmental restrictions.<\/p>\n\n\n\n

                                                XXXIV. Choice of Law; Jurisdiction<\/strong>

                                                These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without giving effect to its conflict of laws provisions or Your actual state or country of residence. Any claims, legal proceedings or litigation arising in connection with the Service will be brought solely in Thurston County, Washington, and You consent to the jurisdiction of such courts.<\/p>\n\n\n\n

                                                XXXV. Non-Waiver; Severability; Headings; Usage<\/strong>

                                                1. Failure or delay by GPT Site to act with respect to a violation of this Agreement or to enforce any part of this Agreement shall not constitute a waiver of Your obligations under this Agreement or a waiver of GPT Site’s right to act with respect to that violation or subsequent violations of a same, similar or different nature.
